1. Agreement to Terms

Welcome to Resupme! These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “User”) and Field Technologies LLC ("Resupme," “we,” “us,” or “our”), concerning your access to and use of the https://www.resupme.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Service”).

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

2. The Service

Resupme provides users with a suite of career development tools, including but not limited to AI-powered resume building and analysis, interview preparation simulations, personalized skill recommendations, and job matching functionalities ("Features"). We reserve the right to modify, suspend, or discontinue the Service or any of its Features at any time, with or without notice to you.

3. User Accounts and Responsibilities

To access most Features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain the security of your password and identification. You are responsible for all activities that occur under your account.
• Be at least 18 years of age or the age of legal majority in your jurisdiction.

4. Subscriptions, Payments, and Refunds

a. Paid Services: Certain features of the Service may be offered on a subscription basis ("Paid Services"). By selecting a Paid Service, you agree to pay Resupme the subscription fees indicated for that service.

b. Billing: We use a third-party payment processor to bill you through a payment account linked to your account. All payments are subject to the terms and conditions of the third-party processor. Subscription fees will be billed in advance on a recurring and periodic basis ("Billing Cycle"), typically monthly or annually.

c. Automatic Renewal: Your subscription will automatically renew at the end of each Billing Cycle unless you cancel it through your account settings prior to the end of the current Billing Cycle.

d. Price Changes: Resupme reserves the right to change the subscription fees for the Paid Services at any time. We will provide you with reasonable prior notice of any change in subscription fees to give you an opportunity to terminate your subscription before such change becomes effective.

e. No Refunds: Payments are non-refundable, and there are no refunds or credits for partially used periods. Following any cancellation, however, you will continue to have access to the service through the end of your current billing period.

5. User-Generated Content

You are responsible for all information, data, and materials that you upload, post, or otherwise transmit through the Service, including your resume, career history, and personal details ("User Content").

a. Ownership: You retain full ownership of your User Content. We do not claim any ownership rights to it.

b. License to Us: By providing User Content to the Service, you grant Resupme a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, analyze, and display your User Content solely for the purposes of operating, providing, and improving the Service.

c. Prohibited Content: You agree not to upload any User Content that is unlawful, harmful, infringing on intellectual property rights, or otherwise objectionable.

6. Intellectual Property Rights

Excluding your User Content, you acknowledge that the Service itself, including all text, graphics, logos, software, AI models, and other materials provided by us, are the exclusive property of Resupme and its licensors and are protected by copyright and other intellectual property laws.

7. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying algorithms of our Service.
• Use any automated system, such as a "bot" or "scraper," to access the Service for any purpose without our express written permission.
• Transmit any viruses, worms, or other malicious software.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. You may terminate your account at any time by following the instructions on the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. RESUPME EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE ANY SPECIFIC RESULTS, INCLUDING JOB PLACEMENT, INTERVIEW SUCCESS, OR CAREER ADVANCEMENT. ANY SUGGESTIONS OR FEEDBACK PROVIDED BY OUR AI OR STAFF ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE A GUARANTEE OF SUCCESS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RESUPME, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL RESUPME'S AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID RESUPME, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Iowa, United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
